1. Who we are
BidBloom is a shopping platform operated by Koma Lab Inc, a Delaware corporation ("BidBloom", "we", "us"). By creating an account or otherwise using the BidBloom mobile app (the "Service"), you agree to these Terms of Service and to our Privacy Policy. If you do not agree, do not use the Service.
2. What BidBloom is
BidBloom is a patent-pending commerce platform that lets you shop for real, physical products through a gamified buying experience. You pay an entry fee to join a room. The product's price decreases automatically over time. You may claim the product at the current price; other participants may counter your claim. The last uncountered claim wins the product at the claimed price.
BidBloom is shopping with a game layer. Every entry fee covers a share of the product's retail cost plus our margin. Participants who do not win receive either a discount toward purchasing the product directly or in-app coins to play in coin-entry rooms. No one walks away empty-handed.
3. Eligibility and geography
You must be at least 18 years old, of legal age to form a binding contract in your state, and a resident of the fifty United States or the District of Columbia to use the Service. We may identify your location from your IP address (and, when the paid version launches, your billing or shipping address), and may restrict, suspend, or close accounts that do not meet these requirements. You are responsible for complying with the laws of your jurisdiction; access from outside the eligible area is at your own risk. When products ship at paid launch, they ship only within the United States.
4. Your account
You are responsible for keeping your sign-in credentials secure and for everything that happens under your account. You agree to provide accurate information and to keep your contact and shipping details up to date.
You may delete your account at any time from inside the app (Profile → Delete Account). Deletion removes your personal data, payment methods, in-app coin balance, and game history. We retain limited transactional records as required by tax and consumer-protection laws.
5. Entry fees and payments
Each room has a fixed entry fee, the same for every participant in that room, displayed in U.S. dollars before you join. During the current free beta, no entry fees are charged; when paid entry launches, fees will be processed through a third-party payment provider. Once a room reaches its capacity and the game starts, entry fees are non-refundable except as required by law or where we determine, in our discretion, that a refund is appropriate (for example, a server-side failure that prevented you from playing). Refund requests should be sent to support@marqueeholdings.com.
Bid amount is separate from the entry fee. Your bid is the price you would pay for the product if you win at your auto-stop. The bid amount is locked once you enter and may not be changed.
6. Coins, spins, and discounts
Coins are in-app credits with no cash value. Coins can be earned from the daily spin wheel and as consolation rewards from rooms you do not win. Coins may be spent only within the Service to enter coin-entry rooms and cannot be redeemed for cash, transferred, or sold.
Each account is entitled to one free daily spin. Additional spins are earned only — through daily and weekly challenges, badges, and rank rewards — and are never sold or purchasable. The odds for each prize on the spin wheel are disclosed in the app before each spin.
Ticket discounts won from the spin wheel are applied to the entry fee at room join time. Discounts expire 24 hours after they are awarded. Discounts have no cash value and cannot be transferred.
7. Winning and shipping
During the current free beta, products are not shipped and no shipping address is collected — wins are simulated. When the paid version launches, the following applies. If you win a product, you agree to complete the purchase by confirming a U.S. shipping address inside the app within the time window shown on the win screen. If you do not confirm in time, the offer may pass to the next eligible participant. Products are shipped via our fulfillment partners (e.g., ShipBob, USPS, UPS, FedEx, DHL). Tracking information is shown in the app once shipped.
Risk of loss passes to you on delivery. Returns and warranty questions are handled per the policy posted at https://marqueeholdings.com/returns and per applicable law.
8. Not gambling
BidBloom is a commerce platform, not a gambling product. Entry fees purchase the right to participate in a discount auction for a real product. Outcomes depend on participant strategy, timing, and Shield-Point (SP) management — not on chance. Participants who do not win receive value back in the form of a product discount or in-app coins. We do not offer cash prizes, cash-out, or any conversion of in-app currency to money.
9. Acceptable use
You agree not to: (a) use bots, scripts, automation, or modified clients to interact with the Service; (b) reverse engineer, decompile, or attempt to extract source code or assets; (c) probe, scan, or test the vulnerability of the Service or break any security measure; (d) use the Service to commit fraud, money laundering, or any unlawful activity; (e) impersonate another person or misrepresent your identity; (f) post content that is unlawful, defamatory, harassing, hateful, sexually explicit, or otherwise objectionable. We may suspend or terminate accounts that violate these rules, with or without notice, and may forfeit unused balances obtained through violations.
10. User content
Your username and avatar are visible to other participants. You grant BidBloom a non-exclusive, royalty-free, worldwide license to host and display them as part of the Service. You can edit or remove your username and avatar at any time. Other participants can report or block you; we may remove content or restrict accounts at our discretion to keep the community safe.
11. Intellectual property
The BidBloom name, logo, app, and underlying mechanic (covered by a pending U.S. patent application) are owned by Koma Lab Inc. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your personal, non-commercial use, subject to these Terms. Nothing in these Terms transfers ownership of any intellectual property to you.
12. Apple disclaimer
These Terms are between you and Koma Lab Inc only, not with Apple Inc. Apple is not responsible for the Service or its content. Any sweepstakes or contest features inside BidBloom are sponsored solely by Koma Lab Inc; Apple is NOT a sponsor of and is NOT involved in any way with such features. To the extent these Terms provide for usage rules less restrictive than the Apple Media Services Terms and Conditions, the more restrictive rules apply.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES; IN THOSE JURISDICTIONS THIS DISCLAIMER APPLIES TO THE FULLEST EXTENT PERMITTED BY LAW.
14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, KOMA LAB INC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
15. Indemnification
You agree to defend, indemnify, and hold Koma Lab Inc harmless from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party right.
16. Termination
We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice. You may stop using the Service at any time. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.
17. Disputes — arbitration and class waiver
Most user concerns can be resolved by emailing support@marqueeholdings.com. If a dispute cannot be resolved informally within sixty days, you and Koma Lab Inc agree to resolve any dispute arising out of or relating to these Terms or the Service through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration will be conducted in English in Wilmington, Delaware, or by video at your option. YOU AND KOMA LAB INC WAIVE THE RIGHT TO BRING A CLAIM AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. You may opt out of this arbitration agreement by emailing support@marqueeholdings.com within thirty days of first creating your account. Nothing in this section prevents either party from seeking small-claims-court relief or injunctive relief in court.
18. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Subject to the arbitration section above, any action that proceeds in court must be brought in the state or federal courts located in Wilmington, Delaware, and you consent to personal jurisdiction there.
19. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated in-app and by email when we have one on file. The "Last updated" date at the top of this screen reflects the most recent change. Continued use of the Service after a change constitutes acceptance of the updated Terms.
